INFRASTRUCTURE PROJECTS ADVISORY

  • Western Freeway Sea Link – Samir was a part of a consortium of consultants and leading the legal team advising Maharashtra State Road Development  Corporation  (MSRDC) for designing, developing, financing, constructing, maintaining and operating Western Freeway Sea Link Project (connecting Worli to Nariman Point over the Arabian Sea at Mumbai) on a build, operate and transfer (BOT) basis (later abandoned by MSRDC as unviable)
  • Implementation of Passenger Water Transport along the West Coast of Mumbai - Reviewed the Request for Proposal (RFP) in the matter and offered comments thereon to MSRDC and addressed specific queries raised by MSRDC in relation thereto
  • Development of Bulk/General Cargo Terminal at Hazira Port - Provided opinion to lenders on queries relating to the concession agreement and the sub-concession agreement for the bulk/ general cargo terminal agreement regarding term loan facility for Adani Hazira Port Private Limited for development of Bulk/ General Cargo Terminal and associated facilities at Hazira Port
  • Advised State Bank of India in relation to Operation, Management & Development Agreement for privatization of Mumbai & Delhi International Airports
  • Advised Mormugao Port Trust for its project involving designing, constructing, developing, financing, operating, and maintaining on BOT basis, suitable facility for handling rail borne cargo brought to Mormugao Port Trust through bottom discharge wagons or any other suitable wagons as a common user facility
  • Advised Honnavar Port Private Limited in respect of amendments to existing lease deeds entered into by the company with the Government of Karnataka to construct and develop infrastructure and to carry out anchorage operations at Honnavar Port and to brief and discuss the required changes with the Government of Karnataka officials

CORPORATE & TRANSACTIONAL ADVISORY

  • Acted for Hitachi Construction Machinery (HCM) when HCM increased their stake from 20% to 40% and also from 40% to 60% in their joint venture with Tata Motors Ltd. The 3oint Venture Company is Tata Hitachi Construction Machinery Company Pvt Ltd (then Telco Construction Equipment Co. Ltd.). This assignment included comprehensive legal due diligence of the Joint Venture Company
  • Advised on corporate organizational structure for Tata Hitachi Construction Machinery Company Pvt. Ltd.
  • Advised on manufacture, import and usage of Cellular Data Terminal Equipment in India for GPS Application by HCM
  • Remote access due diligence (including due diligence of intellectual property) of a target pharmaceutical company in the USA for Piramal Healthcare Ltd.
  • Counselled the acquisition by a multinational company of majority shares in an Indian company engaged in agrochemical business with global dominance, involving extensive due diligence. advisory and drafting & negotiation of shareholders’ agreement, with exit option to the Indian partner
  • Counselled the acquisition by a multinational automobile company (Automobile MNC) of an automobile manufacturing subsidiary of an Indian company resulting in the Indian company becoming a minority shareholder with an exit option to the Indian company
  • Advised on the acquisition of 100% shareholding in a public listed automobile finance company
  • Advised the acquisition by one of the largest Indian corporate houses of a Malaysian company in the switch-gear business, along with its global intellectual property rights and three subsidiaries located in China, Australia and Indonesia.
  • Engaged by Hoechst Schering AgrEvo SA (a flagship of Hoechst group in agrochemicals) as special advisor and stationed at Paris for 3 I-months in relation to its merger with the French pharmaceutical and chemical company Rhéne-Poulenc to form ‘Aventis’. (thereafter Aventis CropScience S.A. and now Bayer CropScience S.A.). The assignment included extensive due diligence of global contracts of the company.
